Welcome to API Nepal! These Terms and Conditions ("Terms") govern your use of our services as a payment aggregator platform facilitating transactions between merchants and payment gateway providers.

By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree, you may not use our services.


1. Definitions

1.1 API Nepal: Refers to the platform acting as an intermediary to facilitate payment transactions between merchants and payment gateway providers in Nepal.

1.2 Merchant: Any individual or business entity using API Nepal’s services to accept payments for goods or services. Merchants must possess a valid Permanent Account Number (PAN) registered in Nepal.

1.3 Payment Gateway Provider: Third-party financial institutions or service providers that process online payment transactions.

1.4 Services: Includes payment aggregation, transaction management, reporting, and other related services provided by API Nepal.


2. Eligibility

2.1 You must be at least 18 years of age and have the legal authority to enter into agreements on behalf of your business to use our services.

2.2 Merchants are required to provide a valid and active PAN for compliance with Nepalese tax regulations.

2.3 API Nepal reserves the right to request additional documentation to verify your identity, business registration, and eligibility at any time.


3. Use of Services

3.1 Merchant Account Registration: To use API Nepal’s services, you must create a merchant account by providing accurate and complete information, including your PAN and business details. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Permitted Use: Merchants may only use the platform for lawful purposes. Any fraudulent, illegal, or unauthorized use of the services is strictly prohibited.

3.3 Prohibited Activities: Merchants are expressly prohibited from using API Nepal’s services for:

  • Activities related to money laundering, terrorism financing, or any other illegal operations.

  • Transactions involving prohibited goods, services, or content as per Nepalese law.

  • Misrepresentation of business activities.

3.4 Transaction Limitations: API Nepal may impose limits on transaction volumes, amounts, or types as deemed necessary for operational or compliance purposes.

3.5 Signed Contract: Merchants must sign a formal agreement with API Nepal before activation of services, acknowledging these Terms and compliance requirements.


4. Responsibilities of API Nepal

4.1 API Nepal acts as an intermediary and is not a party to the transactions between merchants and payment gateway providers.

4.2 API Nepal ensures the secure transmission of payment-related data to the respective payment gateway provider.

4.3 API Nepal is not responsible for delays, failures, or errors caused by third-party payment gateway providers or financial institutions.

4.4 API Nepal monitors and reports suspicious or illegal activities to relevant authorities as required by law.


5. Responsibilities of Merchants

5.1 Merchants are solely responsible for the accuracy of the payment information provided through API Nepal.

5.2 Merchants must comply with all applicable laws, including but not limited to tax, anti-money laundering, and consumer protection laws.

5.3 Merchants are responsible for all chargebacks, reversals, or disputes arising from their transactions.

5.4 Merchants must notify API Nepal immediately of any suspected unauthorized or illegal use of their account.


6. Fees and Settlement

6.1 Fees: Merchants agree to pay applicable service fees as outlined in the pricing agreement. Fees may be subject to change with prior notice.

6.2 Settlement: API Nepal will settle funds to the merchant’s designated account within the agreed-upon timeframe after deducting applicable fees.

6.3 Taxes: Merchants are responsible for reporting and paying any taxes associated with their use of API Nepal’s services. API Nepal reserves the right to withhold taxes as required by law.


7. Data Protection and Security

7.1 API Nepal adheres to industry-standard data protection practices to ensure the security of merchant and customer information.

7.2 Merchants must also implement necessary security measures to protect sensitive customer data, including payment details.

7.3 Merchants are required to comply with Nepal’s data protection and cybersecurity regulations.


8. Termination

8.1 Either party may terminate the agreement with 30 days' written notice.

8.2 API Nepal reserves the right to terminate services immediately in case of suspected fraud, non-compliance, illegal activities, or breach of these Terms.

8.3 Upon termination, merchants must settle any outstanding fees and liabilities with API Nepal.


9. Limitation of Liability

9.1 API Nepal shall not be held liable for any indirect, incidental, or consequential damages arising from the use of its services.

9.2 API Nepal’s total liability in connection with these Terms shall not exceed the fees paid by the merchant in the preceding three months.


10. Governing Law and Dispute Resolution

10.1 These Terms shall be governed by the laws of Nepal.

10.2 Any disputes arising from these Terms shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act of Nepal.


11. Amendments

11.1 API Nepal reserves the right to modify these Terms at any time with prior notice. Continued use of the services after changes constitute acceptance of the revised Terms.
