Terms and Conditions

Welcome to API Nepal. These Terms and Conditions (“Terms”) govern your use of our services as a provider of payment gateway integration solutions for merchants in Nepal. By accessing or using our services, you agree to comply with these Terms. If you do not agree, you may not use our services.
1.1 API Nepal: The platform providing technical integration and support for payment gateway services. API Nepal does not handle, hold, or settle transaction funds, and is not responsible for payment disputes.
1.2 Merchant: Any individual or business using API Nepal to integrate with a payment gateway. Merchants must possess a valid Permanent Account Number (PAN) and registered business documents in Nepal.
1.3 Payment Gateway Provider: Third-party financial institutions or service providers that process payments and transfer funds directly to the merchant’s account.
1.4 Services: Includes payment gateway integration, technical support, reporting tools, and related services.
2.1 Merchants must be at least 18 years old and legally authorized to enter agreements on behalf of their business.
2.2 Merchants must provide a valid PAN and registered business documents in compliance with Nepalese laws.
2.3 API Nepal reserves the right to verify merchant information and request additional documentation as needed.
3.1 Account Registration: Merchants must provide accurate and complete information during registration. Account credentials must be kept confidential.
3.2 Permitted Use: Services may only be used for lawful purposes and for integrating with supported payment gateways.
3.3 Transaction Responsibility: All payment funds are processed and settled directly to the merchant account by the payment gateway provider. API Nepal does not handle or manage these funds and is not responsible for any disputes, chargebacks, or reversals.
3.4 Prohibited Activities: Merchants may not use the services for:
Money laundering, terrorism financing, or other illegal activities.
Transactions involving prohibited goods or services.
Misrepresentation of business activities.
4.1 Provide technical access, integration tools, and support for payment gateway services, including processing of payments from customers to the merchant account.
4.2 Ensure secure transmission and processing of payment data through the payment gateway.
4.3 API Nepal does not handle disputes, refunds, reversals, or chargebacks, and is not responsible for resolving any payment-related conflicts between merchants and their customers.
5.1 Provide accurate information to API Nepal and the payment gateway.
5.2 Comply with all applicable laws, including tax, anti-money laundering, and consumer protection regulations.
5.3 Manage all disputes, chargebacks, and reversals directly with the payment gateway provider.
5.4 Notify API Nepal immediately of any unauthorized or suspicious activity related to your account.
6.1 Service Fees: Merchants agree to pay API Nepal fees for service and gateway integration as per the pricing agreement.
6.2 Transaction Funds: All payments are processed by the payment gateway provider and settled directly to the merchant account. API Nepal does not hold or manage transaction funds and is not liable for payment disputes.
6.3 Taxes: Merchants are responsible for any taxes applicable to API Nepal services.
7.1 API Nepal implements industry-standard practices to safeguard merchant and customer data.
7.2 Merchants are responsible for securing sensitive customer information, including payment details.
7.3 Merchants must comply with Nepalese data protection and cybersecurity laws.
8.1 Either party may terminate the agreement with 30 days’ written notice.
8.2 API Nepal may terminate services immediately for suspected fraud, non-compliance, or violation of these Terms.
8.3 Merchants remain liable for any unpaid service fees upon termination.
9.1 API Nepal is not liable for any indirect, incidental, or consequential damages arising from the use of payment gateways, including disputes, chargebacks, or reversals.
9.2 API Nepal’s total liability is limited to fees paid by the merchant for API Nepal services in the preceding three months.
10.1 These Terms are governed by the laws of Nepal.
10.2 Any disputes shall be resolved through arbitration in Kathmandu under the Arbitration Act of Nepal.
API Nepal reserves the right to modify these Terms at any time with prior notice. Continued use of services constitutes acceptance of the revised Terms.
